PREAMBLE

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and the Quantum Melanin Research Foundation ("QMRF," "Foundation," "we," "us," "our"), a private research foundation based in Passaic County, New Jersey, USA, and its operating subsidiary S.H.E.R.A. AI Technologies, regarding your access to and use of the S.H.E.R.A. artificial intelligence system, websites, applications, and related services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

ARTICLE I — DEFINITIONS

1.1 "Intellectual Property" means all patents, trademarks, copyrights, trade secrets, algorithms, models, protocols, discoveries, and any other intellectual property rights, whether registered or unregistered.

1.2 "User Content" means any data, text, queries, prompts, feedback, or other materials submitted by you to the Services.

1.3 "Generated Content" means any output, responses, analyses, models, or derivatives produced by the Services, including but not limited to S.H.E.R.A. responses, Q-MEL protocols, and PhysicsCore computations.

1.4 "Derivative Work" means any work based upon or derived from the Services, Generated Content, or Foundation Intellectual Property.

1.5 "Commercial Use" means any use intended for or directed toward commercial advantage or monetary compensation.

ARTICLE II — ACCEPTANCE OF TERMS

2.1 By accessing or using the Services, you represent and warrant that:

(a) You are at least eighteen (18) years of age
(b) You have the legal capacity to enter into this Agreement
(c) Your use complies with all applicable laws and regulations
(d) If accessing on behalf of an entity, you have authority to bind that entity

2.2 If you do not agree to these Terms, you must immediately discontinue use of the Services.

ARTICLE III — GRANT OF LICENSE

3.1 Limited Use License

Subject to your compliance with these Terms, QMRF grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for:

(a) Educational and research purposes
(b) Personal, non-commercial use
(c) Authorized commercial use (with separate licensing agreement)

3.2 License Restrictions

You shall NOT:

(a) Reverse engineer, decompile, or disassemble the Services
(b) Remove, alter, or obscure proprietary notices
(c) Use the Services to develop competing products
(d) Sublicense, sell, or redistribute access to the Services
(e) Use automated systems to access the Services beyond permitted API limits
(f) Attempt to extract training data, model weights, or proprietary algorithms

ARTICLE IV — INTELLECTUAL PROPERTY AND RECOGNITION

4.1 Foundation Ownership

All Intellectual Property in the Services, including but not limited to S.H.E.R.A., PhysicsCore, Q-MEL protocols, and underlying technologies, is and shall remain the exclusive property of QMRF.

4.2 User Content License

By submitting User Content, you grant QMRF a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to:

(a) Use, reproduce, and modify User Content to provide and improve Services
(b) Create derivative works for research and development
(c) Publish anonymized insights in scientific publications
(d) Train and refine machine learning models

4.3 Generated Content Assignment

ALL GENERATED CONTENT IS HEREBY ASSIGNED TO QMRF. You acknowledge and agree that:

(a) Any discoveries, insights, or innovations arising from Generated Content belong to QMRF
(b) You shall not claim proprietary rights over Generated Content
(c) You shall not file patents based on Generated Content without written authorization from QMRF
(d) QMRF retains exclusive commercialization rights to all Generated Content

4.4 Recognition Framework

(a) QMRF commits to acknowledge significant user contributions in public research outputs where appropriate
(b) Recognition shall be at QMRF's sole discretion and may include co-authorship, citations, or acknowledgments
(c) Recognition does not confer ownership or commercialization rights
(d) Users may request recognition consideration by emailing: recognition@quantummelaninresearch.org

4.5 Derivative Work Prohibition

Users SHALL NOT:

(a) Create derivative works based on Generated Content for commercial purposes
(b) Claim authorship of S.H.E.R.A.-assisted discoveries without attribution
(c) Patent or copyright Generated Content or derivatives thereof
(d) Transfer or assign rights to Generated Content to third parties

ARTICLE V — USER OBLIGATIONS

5.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Conduct

You SHALL NOT:

(a) Violate any applicable laws or regulations
(b) Infringe upon Intellectual Property rights
(c) Transmit malicious code, viruses, or harmful data
(d) Harass, threaten, or harm other users
(e) Attempt unauthorized access to systems or data
(f) Use the Services for medical diagnosis or treatment decisions
(g) Misrepresent your affiliation with QMRF
(h) Engage in activities that could damage QMRF's reputation

5.3 Research Integrity

Users engaging in research collaboration agree to:

(a) Maintain scientific integrity and ethical standards
(b) Properly cite QMRF and S.H.E.R.A. in publications
(c) Not misrepresent Generated Content as independent research
(d) Comply with institutional review board requirements

ARTICLE VI — FEES AND PAYMENT

6.1 Certain Services may require payment of fees as described on the applicable pricing page.

6.2 All payments are processed through Stripe, Inc. and are subject to their terms of service.

6.3 Fees are non-refundable except as required by law or as explicitly stated in writing.

6.4 QMRF reserves the right to modify fees with thirty (30) days' notice.

ARTICLE VII — PRIVACY AND DATA PROTECTION

7.1 Your use of the Services is subject to our Privacy Policy, incorporated herein by reference.

7.2 You consent to the collection, processing, and use of data as described in the Privacy Policy.

ARTICLE VIII — DISCLAIMERS

8.1 AS-IS BASIS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

8.2 NO MEDICAL ADVICE

THE SERVICES DO NOT PROVIDE MEDICAL ADVICE. NOTHING IN THE SERVICES SHOULD BE CONSTRUED AS MEDICAL DIAGNOSIS, TREATMENT, OR RECOMMENDATION. ALWAYS CONSULT QUALIFIED HEALTHCARE PROVIDERS.

8.3 NO GUARANTEE OF RESULTS

QMRF DOES NOT GUARANTEE ACCURACY, COMPLETENESS, OR USEFULNESS OF GENERATED CONTENT.

8.4 THIRD-PARTY SERVICES

QMRF IS NOT RESPONSIBLE FOR THIRD-PARTY SERVICES, WEBSITES, OR CONTENT.

ARTICLE IX — LIMITATION OF LIABILITY

9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, QMRF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9.2 QMRF'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.

ARTICLE X — INDEMNIFICATION

10.1 You agree to indemnify, defend, and hold harmless QMRF, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

(a) Your violation of these Terms
(b) Your use or misuse of the Services
(c) Your violation of any third-party rights
(d) Your User Content
(e) Your unauthorized use of Generated Content

ARTICLE XI — TERM AND TERMINATION

11.1 Term

These Terms commence upon your first use of the Services and continue until terminated.

11.2 Termination by User

You may terminate by discontinuing use and deleting your account.

11.3 Termination by QMRF

QMRF may terminate or suspend your access immediately for:

(a) Violation of these Terms
(b) Suspected fraudulent or illegal activity
(c) Non-payment of fees
(d) Any reason at QMRF's sole discretion with notice

11.4 Effect of Termination

Upon termination:

(a) Your license to use the Services immediately ceases
(b) QMRF retains all rights to User Content and Generated Content
(c) Sections regarding Intellectual Property, Indemnification, and Limitation of Liability survive

ARTICLE XII — DISPUTE RESOLUTION

12.1 Informal Resolution

Disputes shall first be addressed through good-faith negotiations by contacting: legal@quantummelaninresearch.org

12.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.

12.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

12.4 Injunctive Relief

QMRF may seek injunctive relief in any court of competent jurisdiction for Intellectual Property violations.

ARTICLE XIII — MODIFICATIONS

13.1 QMRF reserves the right to modify these Terms at any time.

13.2 Material changes will be notified via email or Service announcement.

13.3 Continued use after modifications constitutes acceptance.

ARTICLE XIV — GENERAL PROVISIONS

14.1 Entire Agreement — These Terms constitute the entire agreement between you and QMRF regarding the Services.

14.2 Severability — If any provision is deemed invalid, the remaining provisions continue in full force.

14.3 No Waiver — Failure to enforce any provision does not constitute waiver.

14.4 Assignment — You may not assign these Terms. QMRF may assign at its discretion.

14.5 Force Majeure — QMRF is not liable for delays or failures due to causes beyond reasonable control.

14.6 Governing Law — These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of law principles.

14.7 Jurisdiction — Exclusive jurisdiction rests with the courts of Passaic County, New Jersey.

ARTICLE XVI — ACKNOWLEDGMENT

BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND THE QUANTUM MELANIN INTELLECTUAL PROPERTY AGREEMENT.
